As a result, they will also be overseeing specific personnel.Role: Manager-Corporate SecretaryQualification : CS from ICSI (must)Experience: 7+ YearsIndustry : Any FMCG / FMDDLocation: Kochi/ Thrissur -KeralaSkills :Minimum of 5 years of experience as a Company Secretary, preferably in a corporate setting.Sound knowledge of the Companies Act, 2013Excellent communication, organizational and analytical skills.Ability to work under pressure and prioritize tasks effectively.Experience of working with senior management and board members.Strong drafting and negotiation skills.Responsibility:Act as a Company Secretary for the organization and ensure that all legal and regulatory requirements are met.Advise the management team on corporate governance matters and ensure that board and shareholder meetings are properly conducted.Assist in identifying and managing legal and compliance risks. Develop and implement risk management strategies and processesEnsure compliance with all applicable laws and regulations, including the Companies Act, 2013 and the Insolvency and Bankruptcy Code, 2016.Conduct legal research and keep up-to-date with changes in laws and regulations that may affect the organization.Manage legal disputes and liaise with external counsel as required.Support the organization's risk management activities and ensure that appropriate measures are taken to mitigate legal risks.
