Chief Manager compliance Job Purpose To serve as the primary architect for the compliance framework of the newly launched Portfolio Management Services (PMS) and existing Alternative Investment Funds (AIF). You will ensure that all investment activities, client onboarding, and fund management practices adhere to SEBI (Portfolio Managers) Regulations, 2020 and SEBI (AIF) Regulations, 2012.Key Responsibilities 1. PMS&AIF Regulatory Oversight - Licensing&Documentation: Maintain the validity of SEBI registrations. Manage the Disclosure Document (DD) for PMS and Private Placement Memorandum (PPM) for AIFs, ensuring all amendments are certified and filed within 30 days of any material change. - Investment Restriction Monitoring: Build automated checks to monitor Concentration Limits (e.g., ensuring PMS investments in unlisted securities or related parties do not exceed SEBI-mandated % of AUM).- Fiduciary Responsibility: Monitor "Agreements between Portfolio Manager and Client" to ensure mandates are strictly followed. 2. Digital Compliance&KYC - High-Conviction Onboarding: Oversee the onboarding of HNI/UHNI clients, ensuring the minimum investment threshold ($₹50$ Lakh for PMS, $₹1$ Crore for AIF) is met and verified. - Anti-Money Laundering (AML): Act as the designated point of contact for PMLA compliance, ensuring robust KYC/CKYC processes and reporting suspicious transactions (STRs) to the FIU-IND if necessary.3. Performance&Reporting Compliance - Verification of Returns: Ensure performance reporting follows the Global Investment Performance Standards (GIPS) or SEBI-mandated calculation methodologies (Time-Weighted Rate of Return - TWRR). - Fee&Expense Management: Validate that the High-Water Mark principle is correctly applied to performance fees and that the Total Expense Ratio (TER) is within regulatory caps. - Regulatory Filings: Lead the submission of monthly and quarterly reports via the SEBI Intermediary (SI) Portal. 4. Audit&Risk Control - Annual Compliance Audit: Coordinate the mandatory annual audit of the PMS/AIF operations by an independent Chartered Accountant. - Conflict of Interest: Monitor and manage "Chinese Walls" between the AIF, PMS, and other entities to prevent the misuse of UPSI (Unpublished Price Sensitive Information).
